Meeting Minutes VIP Membership Service Agreement

1. Service Description

1. [Meeting Minutes VIP Member] refers to a natural person who has completed all the procedures to become a member and, subject to compliance with this agreement, enjoys the VIP membership services provided by the meeting minutes during the validity period of the membership.
2. [VIP Membership Service for Meeting Minutes] is a personal exclusive membership benefit provided to you by Meeting Minutes. Please refer to Section 4 of this agreement for the content of the benefits. For any benefits not explicitly stated in this agreement, please refer to the description on the Member Benefits Introduction page of the Meeting Minutes platform. At the same time, the meeting minutes kindly remind you that VIP membership services include additional paid services, including but not limited to Article 4 of Section 4 of this agreement. Special reminder to pay attention to:
   • Meeting Minutes VIP membership service has multiple membership types to choose from, currently including continuous monthly, continuous weekly, and continuous annual membership.
3. The Meeting Minutes VIP Member Service Agreement is a supplementary agreement to the Meeting Minutes Service Agreement and the Meeting Minutes Privacy Policy, and is an integral part of them, with equal legal effect; In case of any conflict between this agreement and the aforementioned agreement, this agreement shall prevail.
4. [Meeting Minutes VIP Member Service Rules] refers to the agreements, announcements, page descriptions, notices, FAQs, and other content related to VIP member services that have been or will be released from time to time in the meeting minutes, and have the same legal effect as this agreement.

2. Using Services

1. Service acquisition

1. Meeting minutes VIP membership service is a paid service, which can be purchased by paying the corresponding service fee, or obtained through participating in marketing activities, accepting gift cards, and other recognized channels of meeting minutes.
2. When obtaining VIP membership services for meeting minutes, you shall comply with laws, regulations, and the provisions of this agreement, not infringe on the legitimate rights and interests of meeting minutes or third parties, and shall not obtain VIP membership services by yourself (or assist others) through improper means including but not limited to the following:
   • For commercial or other non personal use purposes;
   • Registering a meeting minutes account using false information or impersonating others' information;
   • Through any automated program, script, software, etc. such as robot software, spider software, crawler software, etc;
   • Borrowing, renting, selling, sharing, transferring VIP membership services without permission from meeting minutes;
   • Through improper means or in violation of the principle of good faith (such as exploiting loopholes in rules, exploiting system vulnerabilities, abusing membership status, black industries, speculation, etc.);
   • By violating the VIP membership service rules of meeting minutes.

   Meeting minutes statement: Any act of selling, renting, or providing/transferring VIP membership without the explicit authorization of the meeting minutes constitutes infringement, and the meeting minutes have the right to pursue legal responsibility in accordance with the law.

2. Basic principles of service usage

1. In the process of using the VIP membership service for meeting minutes, you should comply with laws, regulations and other normative documents, abide by public order, respect social morality, not endanger network security, not use the internet to engage in activities that endanger national security, honor and interests, not incite subversion of state power, overthrow the socialist system, split the country, undermine national unity, not promote terrorism, extremism, ethnic hatred, ethnic discrimination, not disseminate violent, obscene and pornographic information, not fabricate or disseminate false information to disrupt economic order and social order, and not engage in activities that infringe on the reputation, privacy, intellectual property rights and other legitimate rights and interests of others. If you engage in the above-mentioned behavior, the meeting minutes have the right to terminate the VIP membership service provided to you.
2. Unless otherwise agreed by both parties, the Meeting Minutes grant you a personal, non exclusive, non-commercial, revocable, and fixed-term license to use the VIP membership service for personal and non-commercial purposes only.
3. You understand and agree that you shall not provide the meeting minutes account to others for use in any way, including but not limited to transferring, renting, borrowing, sharing, selling, etc. for live streaming, recording, watching, uploading, downloading, participating in activities, etc. Otherwise, the above actions may cause risks or losses such as account loss, leakage, tampering, theft, cancellation, etc., and may also lead to abnormal situations such as multi terminal login or playback, remote login or playback of your account, triggering security risk control measures for meeting minutes and resulting in account refund, closure, restricted membership rights, suspension or loss. The economic losses, legal consequences and responsibilities arising from this shall be borne by you, and the meeting minutes have the right to decide whether to interrupt or terminate the services provided to you based on your breach of contract.

3. Your account

1. 1. Account acquisition

   During the validity period of the VIP membership service, the meeting minutes account that you enjoy VIP membership benefits is your meeting minutes VIP member account (i.e. the meeting minutes account bound to your VIP membership service, hereinafter referred to as "VIP account" or "member account").

   The meeting minutes kindly remind you that you should use your membership account in accordance with the rules for using the meeting minutes account. Please refer to the Meeting Minutes Service Agreement and related sub agreements, various announcements, page descriptions and standardized processes, FAQs, etc. for more information on account usage rules.

2. 2. Login

   For those who purchase VIP membership services for meeting minutes in tourist mode (see Section 3, Article 6 for specific instructions), you need to log in to your VIP membership account to use the meeting minutes VIP membership service.

3. 3. Account management and security

   1. You shall be responsible for and properly and correctly safeguard, use, and maintain your VIP membership account and password, and take necessary and effective confidentiality measures for your account and password. Do not share your account or password with others (including but not limited to entering passwords for others, providing verification codes, scanning codes, and any other means that allow others to log in to your own account). Any loss, leakage, tampering, theft, cancellation, or other losses caused by improper storage, use, or maintenance of the minutes, which are not due to legal fault of the meeting minutes, shall be borne by you.
   2. If you discover that someone has used your account without authorization or if there are other abnormal situations with your account that prevent you from logging in and using it normally, you need to follow the official account recovery process outlined in the meeting minutes. During the retrieval process, the meeting minutes may require you to provide relevant information and/or supporting documents. Please ensure that the content you provide is true and valid, otherwise retrieval may fail due to the inability to pass the verification of the meeting minutes.
   3. In order to protect account security and prevent account theft, the meeting minutes may adopt one or more security risk control measures from time to time or regularly, including but not limited to user identity verification of account users (such as SMS verification, email verification, QR code verification, graphic verification, third-party authorization verification, etc.), requiring you to change your account password or take other measures, and depending on the severity of the situation, deciding whether to interrupt or terminate the provision of membership services to the account and/or take further measures.
   4. Please note that your actions under your VIP membership account are considered your own actions, and you are responsible for any activities that occur under or through your VIP account.

4. 4. Information inquiry

   You can check your account information details for free by logging into the VIP membership page of the meeting minutes.

5. 5. Usage restrictions

   1. Meeting minutes: Member accounts can be used on different device terminals according to different member types. The specific device terminals applicable to each member are subject to the introduction page displayed to you.

      Unless otherwise specified, in principle:

      • The number of devices and terminals that can be logged in by the same meeting minutes member account is as follows:

        Basic VIP members can log in to up to one device terminal with the same account. If you exceed the above usage restrictions, you will not be able to enjoy membership benefits on the exceeded device terminals. The meeting minutes have the right to take measures such as restricting login, limiting use, interrupting or terminating services based on your exceeding usage situation.

   2. In order for you to smoothly use the VIP membership service of Meeting Minutes, Meeting Minutes recommends that if you exceed the above limits, you should immediately stop using beyond the scope, promptly change your account password and log in again, and follow the instructions on the relevant page of Meeting Minutes. You can view and manage your VIP account device login status on the meeting minutes mobile app.

6. 6. Tourist mode

   1. As the Apple App Store allows non registered users to purchase VIP membership services through guest mode, the membership services will be bound to the device you used to purchase the membership, and VIP membership services can only be used on the bound device. Some membership benefits may not be available to you due to your use of guest mode (such as participation in events). If you experience device loss, damage, system upgrade, restore, clear, or other similar situations, it will result in the inability to continue using the VIP membership benefits bound to this device, and you will be responsible for any losses incurred as a result.
   2. Meeting Minutes: It is recommended that you follow the instructions on the page to bind the meeting minutes registration account, so that you can use the membership benefits on other devices you own.

7. 7. Preferential policies

   The meeting minutes may provide discounts such as extension and upgrade of benefits for VIP membership services that have been purchased and remain valid at different stages based on actual operational conditions. The specific discount policies shall be subject to the activity page of the meeting minutes.

8. 8. Usage guidelines

   When obtaining and using VIP membership services for meeting minutes (including participating in activities), you should follow the procedures and platform standards published through official channels for meeting minutes:

   • It is not allowed to illegally obtain VIP membership accounts or services (including but not limited to some or all membership benefits) and/or participate in activities to obtain benefits (including but not limited to membership benefits, virtual products, physical goods, membership service redemption codes, the same below) through non official or unauthorized channels, methods, or channels of meeting minutes;

   If you violate the above agreement, the meeting minutes have the right to delete, cancel, or reset the benefits you have received, and have the right to terminate the services provided to you. All losses caused by this shall be borne by you.

9. 9. Service period

   The service period of VIP membership service is subject to the service period corresponding to the membership fee that you choose and pay for yourself. After becoming a VIP member, you can check for free by logging in to the meeting minutes VIP member related page. After the membership service expires, the meeting minutes will cease to provide VIP membership services; But if you activate the automatic renewal service and the renewal is successful, the membership service period will be correspondingly extended. If you have activated the automatic renewal VIP membership service, you may unilaterally stop the automatic renewal before the expiration of the current service period. Meeting minutes may also unilaterally stop the automatic renewal due to legal and regulatory requirements, operational strategy needs, and other reasons. The VIP membership service will terminate on the date of expiration of the current service period.

10. 10. You understand and agree that the meeting minutes have the right to decide on their own the launch, adjustment, and discontinuation of such additional features, services, or benefits.

11. 11. Meeting minutes VIP membership benefits are limited to use within China (excluding Hong Kong, Macau, and Taiwan). If you use them beyond the scope, they may be restricted or affected due to non-compliance with local requirements. Meeting minutes do not assume any responsibility for this.

5. Charging and unsubscribing

1. Charging method

The VIP membership service for meeting minutes is a paid service, and you can complete payment through the payment methods actually supported by meeting minutes, such as bank card payment, third-party payment, etc. Please note that if you use an Apple account or a communication account linked to your membership account for payment, this payment method is a collection payment method by a proxy charging operator. There may be certain commercial risks involved in using this payment method (such as criminals using your account or valuable cards such as bank cards for illegal activities), which may cause you economic losses. You should bear all the losses on your own.

2. Refund of fees

VIP membership service is a virtual network service, and the membership fee is the price corresponding to the membership service you purchased, rather than a prepayment or deposit, deposit, savings card, or other nature. Once the VIP membership service is activated, it cannot be refunded (except for situations where you are completely unable to use the VIP membership service due to legal regulations, other agreements in this agreement, significant defects in the VIP membership service, or meeting minutes agreeing to a refund).

The meeting minutes specifically remind you to carefully check your account, purchased service content, price, service period, and other information before purchasing VIP membership services (including automatic renewal services).

3. Changes in charging standards and methods

The pricing methods and standards for VIP membership services (including automatic renewal), paid content, and other additional payment items shall be independently determined by the meeting minutes based on the company's operating costs, strategies, and other comprehensive considerations (including but not limited to sales promotion, price increases, etc.), and displayed to you on payment and other related pages. If there is a change in the charging method when purchasing or renewing, please refer to the actual charging method supported by the meeting minutes; The price adjustment of related services should be based on the current effective price published on the meeting minutes platform.

4. Automatic renewal

Automatic renewal service refers to a service launched by meeting minutes based on the user's demand for automatic renewal, provided that the user has purchased VIP membership services, in order to avoid the user's failure to renew in a timely manner due to negligence or other reasons. If the user chooses to open the automatic renewal service, that is, the authorized meeting minutes can entrust the payment channel (such as Alipay) to deduct the fees for the next billing cycle 24 hours before and after the expiration of the member's automatic renewal period. The partial deduction period is determined by the operator or payment channel based on the actual situation, and the actual deduction time shall prevail, such as iOS channels. If the deduction is successful, the corresponding membership service period will be automatically extended for you.

1. 4.1 Billing cycle: such as monthly, weekly, annual, etc. (specific subject to meeting minutes), users can choose on their own.

2. 4.2 Automatic Deduction Rules:

   • For those who choose automatic renewal, the user agrees that the payment channel can deduct the membership service fee for the next billing cycle from the user's bound account without verifying the member account password, payment password, SMS verification code, and other information.
   • Unless the member or meeting minutes explicitly cancel the automatic renewal, it will be automatically renewed and deducted without any limit on the number of times.
   • If you do not proactively and explicitly cancel the automatic renewal, it shall be deemed that you agree that the meeting minutes may make occasional deduction attempts before and after the expiration of the membership service period in accordance with the deduction rules of the payment channel (even if the amount in your account is insufficient).
   • Once the deduction is successful, the meeting minutes will activate the VIP membership service corresponding to this billing cycle for you.

3. 4.3 Please be informed that the meeting minutes have the right to adjust the prices of membership services (including automatic renewal services). During the validity period of your automatic renewal service, if the meeting minutes make any adjustments to the service prices when you activate the automatic renewal service, you will be notified through one or more reasonable means such as announcements or internal messages. If you do not agree to the price adjustment of the automatic renewal service, you may cancel the automatic renewal service according to the provisions of this agreement, and your membership service period shall terminate on the date of expiration of the current membership service period; If you have not cancelled the automatic renewal service, the payment channel will deduct the service fee for the next and subsequent billing cycles at the adjusted price. Meanwhile, please be informed that due to the deduction rules of the payment channel, if you cancel within 24 hours before the expiration of the current automatic renewal service billing cycle, the payment channel may deduct the service fee for the next billing cycle at the adjusted price and stop withholding the service. If the deduction is successful, your membership service period will terminate on the expiration date of the next billing cycle.

4. 4.4 Cancellation Method

   • Apple mobile device: Click on the Apple account avatar in the upper right corner of the "App Store" on the Apple mobile device, go to "Account" ->"Subscription", select "Meeting Minutes" to unsubscribe;
   • Android mobile device side: Alipay -->"My" -->"Settings" -->"Payment Settings" -->"Password free payment/automatic renewal management", select "Meeting minutes" -->"Cancel automatic renewal";

   You acknowledge and agree that there may be display delays in automatic renewal status updates, and the renewal status displayed in the meeting minutes app shall prevail. And the deduction instruction that you have already delegated to the meeting minutes for automatic renewal before successful cancellation is still valid. The fees deducted from the meeting minutes based on this instruction before the cancellation operation is completed will not be refunded or compensated.

6. Your code of conduct and breach handling

During the use of the VIP membership service for meeting minutes, you are not allowed to engage in the following behaviors:

• Without explicit authorization from the meeting minutes, modifying information such as service content, service period, consumption amount, transaction status, etc. through technical means;
• Provide VIP membership services to others for use through non meeting minutes authorized means (including but not limited to borrowing, renting, selling, sharing, and transferring);
• Copying, downloading, uploading, modifying, cataloging, sorting, translating, distributing, developing, transferring, selling, displaying, disseminating, synthesizing, embedding, linking, creating derivative works, conducting commercial development or promotion of all or part of the videos provided by VIP member services without explicit authorization from meeting minutes or through means not provided by meeting minutes;
• Crack, modify, counter operate, tamper with, or otherwise disrupt any security measures and technologies used to protect VIP member services from meeting minutes;
• Without prior written consent from the meeting minutes, delete any ownership or intellectual property statements or labels on the VIP member service content;
• Without explicit authorization from the meeting minutes, display VIP membership service content in whole or in part in any public occasion, whether for a fee or free of charge (excluding those that do not constitute infringement);
• Other behaviors that are not explicitly authorized or violate laws, regulations, or regulatory policies, violate this agreement, or infringe upon the legitimate rights and interests of the meeting minutes, its affiliated companies, or third parties.

You acknowledge and agree that if you engage in any behavior that violates national laws, regulations, or regulatory policies, violates this agreement, or damages the rights, interests, and reputation of the meeting minutes and/or its affiliated companies, the meeting minutes have the right to take one or more of the following measures:

• If there is a separate clause in this agreement regarding the handling of this behavior, it shall be handled in accordance with that clause;
• Take one or more measures to stop your behavior and the consequences of your behavior (which may or has already occurred), such as deleting/blocking relevant links or content, restricting/canceling your account/account usage permissions, etc;
• Interrupt or terminate part or all of the VIP membership services, and the VIP membership service fees you have paid will not be refunded and you will not receive any form of compensation/indemnification;
• If your actions cause any losses to the meeting minutes and/or its affiliated companies, you shall bear full compensation responsibility for the losses and complete the payment within the time limit required by the meeting minutes.

7. Interruption and termination of services

The interruption or termination of this service includes the following situations:

• If you voluntarily make a request;
• If you engage in any behavior that violates national laws, regulations, or regulatory policies, violates this agreement, or damages the rights, interests, and reputation of the meeting minutes and/or its affiliated companies;
• Meeting minutes shall be in accordance with laws, regulations, regulatory policies, requirements of authorized authorities, or provisions of this agreement;
• Meeting minutes are necessary for emergency situations such as maintaining account and system security;
• Force Majeure (Force Majeure refers to objective circumstances that are unforeseeable, unavoidable, and cannot be overcome, including national laws, regulations, policies, orders from state organs, and other government actions or events such as typhoons, floods, earthquakes, tsunamis, wars, strikes, etc.);
• Other irresistible situations in meeting minutes.

When any of the aforementioned termination situations occur, the meeting minutes will handle the interruption or termination of this service with you in accordance with laws and regulations and the provisions of this agreement.

8. Your personal information protection

1. Protection of personal information

The meeting minutes are well aware of the importance of personal information to you, so they attach great importance to protecting your personal information and treat and process it with a high degree of prudence. During your use of the VIP membership service for meeting minutes, relevant technical measures and other security measures will be taken to protect your personal information.

2. Protection of Minors

• If you are a minor, you should read this agreement under the supervision and guidance of your guardian, and have obtained the guardian's consent to use VIP membership services.
• Guardians should guide their children on the safety issues they should pay attention to when going online, in order to prevent problems before they occur. If the guardian agrees to allow minors to use VIP membership services, they must apply for consumption in the name of the guardian and provide correct guidance and supervision for minors to use VIP membership services. The use of VIP membership services by minors, as well as the exercise and performance of their rights and obligations under this agreement, shall be deemed to have been recognized by their guardians.
• Meeting minutes remind minors to be good at online learning when using membership services, recognize the difference between the online world and the real world, avoid becoming addicted to the internet, and avoid affecting their daily learning life.

3. More information

For more information about personal information processing and protection rules, user control over personal information, etc., please refer to the full text of the "Meeting Minutes Privacy Policy" on the Meeting Minutes Platform (for example, the search path for the mobile Meeting Minutes APP is "My Privacy", click on "Privacy Policy").

9. Notice

In order for you to know the information related to this agreement and VIP member services, you agree that the minutes of the meeting have the right to be notified through one or more ways, such as website publicity, page prompts, pop-up windows, message notifications, official account notifications, internal messages, your reserved contact information (such as mobile phone messages, e-mail, etc.), and the notice will be deemed to have been successfully delivered to you when the minutes of the meeting are sent. If multiple notification methods coexist, the delivery time shall be based on the earliest of the above-mentioned methods.

The content of such notifications may have a significant positive or negative impact on you. Please ensure that your contact information is valid and keep an eye on the corresponding notifications in a timely manner.

10. Contact Meeting Minutes

If you have any questions about this agreement or the use of VIP membership services (including inquiries, complaints, etc.), the meeting minutes provide you with multiple feedback channels, hoping to provide you with satisfactory solutions:

• Online customer service/other online feedback channels: You can contact the online customer service on the meeting minutes platform or submit feedback online;
• Manual customer service channel: You can call the customer service hotline of the meeting minutes to contact them;
• Dedicated email channel: Meeting minutes have been specifically set up admin@fuyoushuo.com Email, you can contact the meeting minutes through this email;
• Other methods: Other feedback channels provided by meeting minutes.

We will reply to you as soon as we receive your feedback.

11. Other

• The effectiveness, performance, interpretation, and dispute resolution of this agreement shall be governed by the laws of China (excluding Hong Kong, Macau, and Taiwan for the purpose of this agreement) (excluding conflict of laws).
• In case of any disputes arising from the signing or performance of this agreement, both parties shall try their best to resolve them through friendly negotiation; When negotiation fails, either party may bring a lawsuit to the people's court with jurisdiction over the defendant's domicile.
• If this agreement is partially invalid due to conflicts with the current laws of the People's Republic of China, it shall not affect the validity of the other parts of the agreement.
• The headings of this agreement are for convenience and readability only and do not affect the meaning or interpretation of any provisions in the main text.
